Investments in any form carry inherent risks, and this is especially true for new technological initiatives. While we cannot guarantee absolute security, our business model and strategy aim to minimize these risks through rigorous scientific validation, commercial planning, and a diversified approach to research and development.

What is the minimum Investment?

The minimum investment for participating in the ISF Perpetual Bond is CHF 20,000.

What are the discounts and premiums I can get?

The ISF Perpetual Bond offers tiered discounts and premiums based on the number of notes purchased and the total investment amount. The issuing price for the notes varies with different stages of the sale: CHF 0.50 per note for the first 5 million notes (SOLD OUT), CHF 0.80 for notes between 5 and 20 million (NOW ON SALE), CHF 0.90 for notes between 20 and 40 million, and CHF 1.00 for notes above 40 million.

Additionally, investors are eligible to receive free premium Notes based on the size of a single subscription. These premiums increase with larger subscriptions and are available up to an aggregate cap of 100 million Notes duly subscribed and settled. Investors receive 10% additional premium Notes for subscriptions of at least 100,000 Notes, 15% for subscriptions of at least 500,000 Notes, and 20% for subscriptions of 1,000,000 Notes or more. The minimum subscription amount is CHF 20,000 (or the equivalent in other currencies). This structure offers investors an attractive opportunity to enhance their overall allocation while supporting ISF’s long-term mission. 

What is a Perpetual Bond?

A perpetual bond, as outlined in the ISF Private Placement Memorandum, is a subordinated, perpetual, participatory note representing a right to participate in the profits generated from the issuer’s business operations. These notes are unsecured and rank subordinate to all unsubordinated liabilities of the issuer. They do not have a fixed redemption or maturity date, meaning they do not have a pre-determined end date and will not be repaid on a fixed schedule. The bondholders are entitled to a fraction of the issuer’s net profits, calculated from the annual audited accounts. This investment is contingent on successful commercialization of scientific results and is subject to various risks, including the early stage of the issuer’s development and the speculative nature of the scientific work involved.

What are the papers the ISF is Planning to publish?

We are planning to publish a series of papers. The first was published on September 26, 2023, “The Origin of Mass and the Nature of Gravity,” lays the foundation for a unified field theory. The series of papers following, “Scale Invariant Unification of Forces, Fields, and Particles in a Quantum Vacuum Plasma,” solve the unification of physics across all forces and scales. Both previous and future publications are instrumental in our technological solutions and business strategy.

Where are ISF’s headquarters and labs located?

ISF’s headquarters are in Geneva, Switzerland, and our laboratories are situated in France. This strategic positioning takes advantage of Switzerland’s neutrality and France’s rich resources for scientific research.

How are the bond proceeds going to be used?

Proceeds from the ISF Perpetual Bond will be primarily allocated to strengthening laboratory infrastructure and expanding our team of scientists and engineers, with the goal of accelerating prototype development and supporting the transition toward commercialization. Why is ISF not relying on state provided funding?

ISF believes in harnessing the power of a global community of investors who share our vision for a sustainable future. This strategy allows us to maintain our independence and focus on long-term objectives without the constraints that typically come with state-provided funding.

How do I know if I’m accredited or not?

Accredited investor regulations vary by country. The United States, Canada, Australia, and Singapore are examples of countries where specific accredited investor criteria apply. These criteria often involve income, net worth, or financial expertise thresholds. However, in the European Union (EU) and the United Kingdom (UK), these specific accredited investor distinctions do not apply in the same way. Each jurisdiction may have its own set of rules and requirements, so it’s essential for potential investors to consult with financial or legal advisors in their respective countries to determine their eligibility. I want to invest but I am not accredited. What can I do?

If you are not an accredited investor, you can still support the organization in meaningful ways. You may become a member, which offers access to community benefits and ongoing updates, although membership does not involve any financial investment in bonds. Additionally, you may choose to contribute through our charitable arm, the Zero Point Foundation, if you wish to support our mission via donations. What are the payment methods? Can we pay with crypto?

For the ISF Perpetual Bond investment, accepted payment methods include wire transfers, credit card payments, and cryptocurrency. We currently accept crypto payments in Bitcoin (BTC) and Ethereum (ETH). For crypto payments, please contact us at participate@spacefed.com to receive the correct procedures and wallet details. We will continue to keep investors informed about any updates to available payment methods. 

What are Profit Participation Rights in the Note?

Following the updates introduced in the Q4 2025 Private Placement Memorandum (PPM), the Profit Participation Rights entitle Noteholders to a perpetual contractual claim equal to 25% of the Issuer’s Consolidated Net Operating Cash Flow. This replaces all previous step-based models. Noteholders participate directly and proportionally in the operational performance of the Issuer, in exchange for waiving any fixed interest on their contribution.
“Consolidated Net Operating Cash Flow” is defined in the PPM as the audited Cash Flow from Operating Activities for the fiscal year, adjusted for non-cash items (such as amortization, depreciation, and working capital variations) and excluding all investing and financing activities. This metric provides a transparent, cash-focused view of the company’s recurring operational performance. For full legal definitions and conditions governing Profit Participation Rights, investors must refer exclusively to the updated Private Placement Memorandum, which is the only legally binding document, directly through the link here.
